The Club can only waive a requirement in General Meeting. The Board can't. Consequently, unless and until the requirement was waived by a General Meeting of members, this person could not be - and consequently was never - a Board member. This was an egregious and embarrassing failure of governance. It may be that there have been other such egregious failures of governance in the past - which seems to be one of the points you were making. That doesn't make doing it again (if that is what has occurred) any less pathetic or reprehensible.
I do not much care what persons are appointed to the Board. I do prefer that, generally speaking, the appointments be conducted lawfully and in such a manner that the Club is not made to look like a laughing stock.

Nah. Vacancy occurred, candidate was identified, position to be ratified at the AGM. Perfectly acceptable. It wasn't "perfectly acceptable". It was contrary to the Articles of Association. They announced that this woman had been appointed to the Board, got caught out, walked it back because they were forced to do so and then decided to try to paper over things by referring to her as an "ex-officio member of the Board". There is, of course, no such beast.
The thing that rings massive alarm bells for me is that they didn't have better legal advice. Who allowed such a sloppy error to be made? It makes you wonder what else they've done poorly (in a compliance sense) over the journey.

It would be wise for Browne to distance himself from Galbally if they are connected.
This does appear to be pushed by only Francis Galbally as far as I'm aware. His brother David was quoted as saying he supported Korda's appointment in April so maybe the family itself is divided over the issue.

“They need to have a voice in December, so we are not going to appoint anyone to the board just because they believe they should be there without it going to a members’ vote and once they have voted and got the board they want, the president will emerge from that" this flies in the face of the - "peaceful resolution that we have been unsuccessful in negotiating a transition to an appropriate new leadership and governance team at Collingwood”.
I assume the "we" Galbally mentions is the Jeff Browne ' new leadership and governance team'. A 'peaceful transition' rather than a vote.

Received an email from the club regarding the electoral process:
We will formally close our year with the 2021 annual general meeting (AGM) on 16 December. With the need for an audit of our financial accounts to be completed and approved first, the board brought forward the AGM to the earliest possible date.
The election concerns a majority of our board - four of seven directors. Directors Jodie Sizer, Paul Licuria and I are not up for election. Jodie and Paul were elected for three years in 2021. I was elected for three years in 2020.
The other four positions on the board will be voted on by members. Voting members are those who hold a Club 5, Legends, or Season Ticket membership with Social Club access, and are entitled to access all 11 of the Club’s home games during the home and away season.
With this background, and in the interests of complete transparency, I have set out a timetable concerning the AGM to assist member participation in the election.
We have engaged CorpVote to conduct the election process, an eminent voting and election provider renowned for governance, audit and compliance expertise.
There are two steps we need to complete before the AGM; the nomination step where members nominate for election to the board, and then the members voting step. Both are governed by our constitution.
On October 15 the Club will place advertisements and invite eligible members to nominate for election to the board. The nomination period will close on November 4.
If there are more nominations of eligible candidates than vacancies and a contested election is required, voting shall commence on November 19 and close on December 10, six days before the AGM.
The returning officer will advise the Collingwood board of the results of the election and at the AGM the newly elected board will be formally confirmed.
KEY DATES

Voting by members opens November 19
Voting by members closes December 10
AGM December 16
As per the constitution, members who held any of the following packages for the 2021 season are eligible to vote:
- Club 5 members;
- Legends members;
- Season Ticket members with Social Club access.

I'm assuming the above email was sent to all 82,000 members who have email addresses. Many of those members don't even know they don't have voting rights given that only 13,000 members are entitled to vote at the AGM. There are so many things to fix up on the admin side to align with the overhaul of the football department. The starting point is a new board, but that should only be the beginning of reforms badly needed at the club. They need to attract more ordinary members who have full voting rights at the club, so it's essential for the club to offer more attractive packages that confer voting rights. Then the club needs to encourage members to utilize the facilities of the social club, not just on game day. For too long Holden Centre has been the domain of the corporates with the members discouraged from going there. Victoria Park has been wasted as a venue for members as well. For a club as rich as Collingwood why hasn't any money been spent on Victoria park? If Collingwood wants to learn how to make the experience of the social club facilities better for members they should visit some of the rugby clubs north of the border, or just cross the fence and check out how the Melbourne Storm treat their members.
